1. Acceptance of Terms

By accessing or using the VINT Platform website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and RM.ai ("Company," "we," "us," or "our"). We reserve the right to update these Terms at any time, with changes effective upon posting.

2. Description of Services

VINT Platform provides vineyard and wine production management software, including:

• Real-time tank and fermentation monitoring
• Batch lifecycle tracking and traceability
• Laboratory quality control and testing management
• Vineyard and land management tools
• Asset and equipment tracking
• Role-based access control and multi-tenant architecture

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 18 years old to use our Services. By using our Services, you represent that you meet this age requirement.

3.2 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized account access
• Accept responsibility for all activities under your account

4. Acceptable Use Policy

4.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms.

4.2 Prohibited Activities

You agree NOT to:

5. Intellectual Property Rights

5.1 Our IP

All content, features, and functionality of the Services, including but not limited to software, text, graphics, logos, and trademarks, are owned by RM.ai and protected by international copyright, trademark, and other intellectual property laws.

5.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

5.3 Your Data

You retain all rights to data you input into the Services ("Your Data"). By using the Services, you grant us a license to use Your Data solely to provide and improve the Services.

6. Payment and Subscription Terms

6.1 Pricing

Pricing for paid plans will be communicated when services become commercially available. All fees are exclusive of applicable taxes unless stated otherwise.

6.2 Payment Terms

• Payments are processed through secure third-party payment processors
• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice

6.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

7. Data Protection and Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. We comply with the EU General Data Protection Regulation (GDPR) and other applicable data protection laws.

8. Disclaimers and Limitation of Liability

8.1 Service "As Is"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RM.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

8.3 EU Consumer Rights

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable consumer protection laws in the European Union.

9. Indemnification

You agree to indemnify, defend, and hold harmless RM.ai, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms
• Your use or misuse of the Services
• Your violation of any third-party rights
• Your violation of applicable laws or regulations

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us at info@vint.digital.

10.2 Termination by Us

We may suspend or terminate your access to the Services immediately, without prior notice, for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity

10.3 Effect of Termination

Upon termination:

• Your right to use the Services ceases immediately
• We may delete Your Data in accordance with our data retention policies
• You remain liable for all fees incurred prior to termination
• Provisions that by their nature should survive termination will survive

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the Czech Republic, without regard to conflict of law principles.

11.2 Dispute Resolution for EU Consumers

If you are an EU consumer, you may have the right to use the European Commission's Online Dispute Resolution platform at: https://ec.europa.eu/consumers/odr

11.3 Arbitration

For business users, any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the Czech Arbitration Court, unless prohibited by mandatory consumer protection laws.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification at least 30 days before the changes take effect.

Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RM.ai regarding the Services and supersede all prior agreements and understandings.

16. Language
